Valuation risk

The chance that unresolved technical or contractual issues reduce the price a buyer is willing to pay.

Valuation risk is the chance that unresolved technical or contractual issues lower what a buyer will pay for a company. In cyber security, it often comes from uncertainty about data rights, model ownership, access controls, or whether critical services can be moved without breaking operations. If a business depends on third-party analytics, cloud services, or AI models, a buyer may discover that important assets are hard to retain, export, or reuse.

This matters because security and value are linked: poor visibility into data lineage, model provenance, vendor dependencies, and offboarding rights can create lock-in, compliance gaps, and hidden remediation costs. In real deal work, defenders reduce valuation risk by inventorying datasets, outputs, keys, accounts, and contracts, then proving what survives termination or acquisition. The goal is to show that the organization controls its assets well enough that the buyer is not paying extra for legal or operational uncertainty.
