OPAS stands for Offerta Pubblica di Acquisto e di Scambio, an Italian public takeover offer used to buy shares, swap them for other securities, or both. It is a common tool in mergers, acquisitions, and control contests for listed companies. The offer can change ownership, voting power, and the level of market disclosure a company must provide.
In cyber security, OPAS matters because ownership shifts can affect a strategic asset’s control surface. Telecoms, financial firms, and other listed operators often hold sensitive data and critical infrastructure. During takeover talks, attackers may exploit confusion with phishing, invoice fraud, fake executive messages, or theft of due-diligence files. Defenders respond by tightening identity checks, restricting access to deal documents, monitoring insider-risk activity, and reviewing incident-response plans. An OPAS is not a security event by itself, but it can create the conditions where fraud, leakage, and social engineering become easier.
