NDA

A non-disclosure agreement, often sensitive if exposed in a leak.

An NDA, or non-disclosure agreement, is a legal contract that restricts sharing of confidential information. In a cyber incident, NDA files can include draft contracts, vendor terms, merger plans, employee records, or security discussions. If attackers steal and expose them, the damage is not only operational: it can trigger legal exposure, weaken negotiating positions, and create reputational pressure.

NDAs matter in cybersecurity because they often sit alongside the most sensitive business data and are easy to overlook in backup shares, document portals, and email archives. Defenders should classify NDA-related documents as high-value data, limit access with least privilege, and monitor for unusual copying or mass downloads. Attackers in extortion schemes often name NDA material to increase leverage, even before proving the breach, because the threat of public disclosure can force a faster response.
