Vendor exit clause

Contract terms covering notice, termination, data return, and deletion when a supplier relationship ends.

A vendor exit clause is a contract provision that sets out how a customer can end a supplier relationship and what happens during the transition. It may specify advance notice, termination rights, the return or export of customer data in usable formats, and secure deletion after the service ends.

In cybersecurity and operational resilience, these terms help an organization leave a provider without losing control of data or disrupting essential workflows. For an AI service, an exit clause can support export of prompts, logs, and other records, but it cannot guarantee that another model will behave the same way. Organizations should review the clause before procurement, confirm deletion and export obligations, and test transition plans alongside workflow revalidation.
